Schedule C: Enterprise Venue
Applies to casinos, gaming venues, event venues, clubs, arenas, and any venue with a gaming floor, ticketed events, or revenue above $5 million per year. Offered only on an Order Form issued by Leadin Solutions. Everything in Schedule B applies unless this Schedule says otherwise.
C1. Service Description
As in Schedule B, plus: a reporting backend that records inquiries by category (events, tickets, dining, hours, directions, lost and found, general), an end-of-day and weekly report delivered to your Delivery Channel and designated email, and hardened infrastructure (redundant hosting, monitored uptime, and a documented recovery procedure). An Event Card is an Inquiry Card about a private event, group booking, or ticketed event, and carries the same legal status as an Inquiry Card: it is a lead, never a booking.
C2. No Gaming Activity
2.1 The Platform is a telephone, web chat, and information service only. It does not conduct, facilitate, advertise, or promote gaming, wagering, or gambling of any kind. It does not accept, place, or relay wagers; does not quote odds, payouts, jackpots, or promotions; does not extend, discuss, or process credit, markers, comps, or player's-club benefits; and does not provide information about gaming machines, tables, or tournaments beyond the existence and public schedule you supply as Customer Content.
2.2 Leadin Solutions is not a gaming vendor, gaming service provider, or manufacturer and does not hold, and does not intend to hold, any gaming license, registration, or certification. You represent that your use of the Platform does not require Leadin Solutions to hold any such license or registration under the Washington Gambling Commission rules, any tribal gaming ordinance, any tribal-state compact, or any other applicable gaming law. If any regulator, tribal gaming agency, or compact authority determines otherwise, Leadin Solutions may terminate this Schedule immediately on notice, refund prepaid unused monthly fees, and have no further obligation.
C3. Your Regulatory Obligations
You are solely responsible for compliance with every law that governs your premises and operations, including gaming law, tribal-state compact terms, tribal gaming ordinances, liquor law, responsible-gaming and self-exclusion programs, age restrictions, anti-money-laundering and Title 31 obligations, ticketing and consumer-protection law, ADA accessibility, and privacy law for patron data. The Platform does not screen callers against self-exclusion lists, does not verify age, and does not identify patrons. You will not supply Customer Content, and will not ask Leadin Solutions to configure behavior, that would cause the Platform to market to minors, to self-excluded persons, or to any person in violation of your obligations.
C4. Promotions Prohibited
The Platform answers; it does not promote. It will not send event announcements, offers, point balances, or any marketing content to End-Customers, and will not initiate contact with anyone. A promotional messaging program for your patrons, if ever offered, is a separate product with a separate written consent program and a separate agreement. Any request to the Platform that would turn an informational reply into a solicitation is declined, and repeated requests are a material breach.
C5. Ticketing, Payments, and Bookings
The Platform does not sell tickets, hold seats, take deposits, process payments, or confirm events. It directs End-Customers to your ticketing channel and collects event inquiries as Event Cards for your sales team. Any representation about ticket availability or pricing is Customer Content you supplied, relayed without verification.
C6. Patron Data
End-Customer personal information collected through the Platform is limited to what the End-Customer volunteers in the conversation. Leadin Solutions does not combine it with your player-tracking, loyalty, or surveillance systems and does not accept patron lists, player-club data, or self-exclusion lists from you. Retention follows Master Agreement 6.2 unless the Order Form sets a shorter period. Reports in the backend are aggregated by category.
C7. Customer Content and Information Accuracy
Master Agreement Section 21 applies, with this addition: you designate at least one Customer Content owner on the Order Form, and Leadin Solutions may rely on that person's updates. Leadin Solutions is not liable for the consequences of an End-Customer acting on hours, event, dining, or policy information that matched your Customer Content at the time it was relayed.
C8. Service Levels and Hardening
Availability. Target 99.5% monthly uptime, excluding scheduled maintenance announced 48 hours ahead and Sub-processor or carrier outages. Credit: 5% of the monthly fee per verified hour of outage within Leadin Solutions' control beyond the first 2 continuous hours, capped at 50% of that month's fee. Service credits are your sole financial remedy for availability.
Service-Level Guarantee. As in Schedule B, Section B9, with the monthly fee credited in full on a verified miss. Answers given from your Customer Content are excluded.
Recovery. Documented backup and recovery procedure; recovery-time objective of 4 hours for the intake service; a status notice to your designated contact within 1 hour of a confirmed outage.
C9. Fees, Setup, and Term
9.1 The monthly fee and setup fee are negotiated and stated on the Order Form; where the Order Form names a Schedule P plan instead, Schedule P applies. The setup fee is due in full before provisioning begins and is non-refundable once provisioning begins. A negotiated fee may be stated as tax-inclusive.
9.2 Setup covers discovery sessions, Customer Content intake, greeting script review and approval by you, reporting-backend configuration, setup of your Delivery Channel and report recipients, a live QA period of up to 10 business days, and staff orientation.
9.3 Monthly fees are billed in advance. Master Agreement 8.5 applies, with the clarification that on non-payment Leadin Solutions may suspend the Service on 10 days' written notice and terminate on 30 days' written notice, and that suspension releases Leadin Solutions from the service levels in C8 for the suspension period.
9.4 If the Order Form states an Initial Term, either party may terminate for convenience at the end of the Initial Term on 30 days' notice; otherwise the Agreement is month-to-month.
C10. Sovereign Immunity and Dispute Resolution for Tribal Entities
This Section applies if you are a tribe, a tribal enterprise, or an entity owned or controlled by a tribe, and it replaces Master Agreement 18.3 only to the extent stated here.
10.1 You represent that the person signing the Order Form has authority under your governing documents, tribal law, and any required tribal council or board resolution to enter into the Agreement and to grant the limited waiver in this Section, and that any such resolution has been adopted.
10.2 You expressly and irrevocably grant a limited waiver of sovereign immunity from suit, solely in favor of Leadin Solutions and its permitted assigns, solely for the purpose of (a) compelling arbitration under Master Agreement 18.3; (b) enforcing an arbitration award, including by entering judgment in the United States District Court for the Eastern or Western District of Washington or, if that court lacks jurisdiction, in the Superior Court of King County, Washington; (c) seeking temporary injunctive relief to protect Leadin Solutions' intellectual property or confidential information; and (d) collecting amounts due under the Agreement, limited to the fees, pass-through charges, interest, and attorneys' fees owed under the Agreement plus the costs of enforcement, and payable only from your revenues and assets that are not held in trust by the United States.
10.3 You waive any requirement that Leadin Solutions exhaust tribal court or tribal administrative remedies before proceeding under this Section, and you agree that tribal law and tribal courts do not govern the Agreement or any dispute under it.
10.4 This waiver does not extend to any claim by any person other than Leadin Solutions or its permitted assigns, does not extend to consequential or punitive damages, and does not waive immunity from any claim by a third party, including an End-Customer.
10.5 If a tribal counterparty declines this Section, Leadin Solutions may still contract on the following basis, stated on the Order Form: setup fee paid in full in advance, monthly fees paid in advance, and the Service suspended automatically on any payment more than 10 days late. Leadin Solutions' sole remedy for non-payment is then suspension and termination, and both parties acknowledge that this allocation is reflected in the fees.
C11. Minimum Liability Cap
For Master Agreement 13.2(B), the minimum cap under this Schedule is 3 months' fees at the rate on the Order Form. The setup fee is not counted toward the cap.
C12. Voice and Recording
Master Agreement 6.7 applies. Any additional voice feature is enabled only by a separate written addendum.
