This is a structured product development engagement, not a service subscription. Design Partner receives full access to the Leadin Platform at no charge for 60 days in exchange for structured participation in product feedback sessions. There is no billing, no automatic conversion, and no obligation to continue after the engagement ends.

1. Introduction and Parties

This Design Partner Agreement ("Agreement") is entered into between Leadin Solutions LLC, a Washington State limited liability company ("Leadin Solutions," "we," "us," or "our"), and the trade service company identified above ("Design Partner," "you," or "your").

This Agreement governs Design Partner's participation in Leadin Solutions' Design Partner Program — a structured 60-day engagement during which Design Partner receives full access to the Leadin Platform at no charge in exchange for active participation in product feedback sessions and honest evaluation of the Platform's performance in a real-world operating environment.

The Service is available in 47 US states. It is not available in California, Texas, or Florida at this time.

2. Engagement Period

The engagement runs from the Engagement Start Date to the Engagement End Date specified above. These are fixed dates. The engagement does not extend, renew, or convert automatically under any circumstances. On the Engagement End Date, Platform access ends and no subscription begins.

3. Description of Service and Definitions

Leadin Solutions provides an AI-powered automated intake system that captures customer job requests via SMS when your business phone line is unanswered. When your phone line is unavailable, the caller hears an IVR greeting identifying your automated scheduling assistant. If the caller presses 9 to confirm consent, the Platform sends an automated SMS to capture their service request, conducts a structured intake conversation, and delivers a job card to your team via Slack.

The Platform operates as an automated scheduling assistant and clearly identifies itself as such in every customer-facing message.

Job Card — Definition and Legal Status

Job Card: An unverified automated intake record generated solely from information provided by the caller during an automated SMS conversation. A Job Card is a communication tool only. It does not constitute a service contract, work order, price quote, estimate, scheduling confirmation, appointment booking, or binding commitment of any kind — between Leadin Solutions and any party, or between the Design Partner and their end-customer. A Job Card creates no legal obligation for any party to perform or receive services. All Job Card details must be independently verified by Design Partner before dispatch or any commitment to the end-customer. Leadin Solutions makes no representation as to the accuracy, completeness, or reliability of Job Card content. Design Partner is solely responsible for confirming all details with the end-customer and for all decisions made in reliance on a Job Card.

Urgency Classification Disclaimer

Job Cards may include an urgency or priority classification generated by the Platform's AI based solely on language used by the caller during the intake conversation. This classification is not a safety assessment, emergency determination, or professional triage. The Platform does not assess, prioritize, or classify emergency situations. Any urgency indication on a Job Card reflects the caller's self-reported description only and must not be relied upon as a substitute for Design Partner's own judgment. Design Partner is solely responsible for evaluating the actual urgency or emergency nature of any service request before dispatch or any other action.

Emergency Safety Notice: The Leadin intake system is not an emergency response service. For any situation involving a gas leak, flooding, fire, electrical hazard, or any immediate risk to life or property, your customers must call 911 immediately. You are solely responsible for ensuring your customers understand this limitation.

4. Design Partner Obligations

Design Partner's participation in structured feedback sessions is the consideration for receiving free access to the Platform. These obligations are material to this Agreement. Consistent non-participation may result in early termination of the engagement at Leadin Solutions' discretion.

4A. Feedback Sessions. Design Partner agrees to participate in structured feedback sessions conducted remotely (video or phone call):

Frequency: once every two weeks (bi-weekly) during the 60-day engagement period — approximately four sessions total

Duration: 15 minutes per session

Format: remote — video call or phone call at Leadin Solutions' scheduling

Scheduling: Leadin Solutions will send calendar invitations with at least 48 hours advance notice. Design Partner will make reasonable efforts to attend at the scheduled time or propose an alternative time within 5 business days.

4B. Feedback Scope. Feedback sessions will cover: Platform performance in Design Partner's real-world operating environment; job card accuracy and completeness; IVR and SMS customer experience; workflow integration; and any other observations relevant to product improvement. Design Partner agrees to provide honest, direct, and specific feedback based on actual experience. Feedback need not be positive — candid critical feedback is valued and expected.

4C. Product Development Discretion. Design Partner's feedback is input only. Leadin Solutions retains sole and absolute discretion over all product development decisions, including which feedback to act on, how to implement it, when to implement it, and whether to implement it at all. Design Partner's participation creates no obligation on Leadin Solutions to implement any specific feature, change, or improvement, and no right for Design Partner to demand implementation of any feedback provided.

4D. Active Use. Design Partner agrees to actively use the Platform during the engagement period by maintaining call forwarding to the assigned Twilio number during normal business hours. Passive enrollment without active use does not satisfy the spirit of this Agreement and may result in early termination at Leadin Solutions' discretion.

5. Platform Independence and Scope Limitations

Leadin Solutions is an independent technology service provider. It has no affiliation with, agency relationship with, or responsibility for Design Partner's trade licensing, insurance, business operations, service quality, or legal compliance with any trade, contractor, or licensing laws. Leadin Solutions does not refer, recommend, endorse, or connect end-customers to trade companies. End-customers who interact with the Platform have an existing relationship with your business — Leadin Solutions is facilitating communication on your behalf as a data processor only. Nothing in this Agreement creates an agency, partnership, joint venture, employment, or fiduciary relationship between Leadin Solutions and Design Partner.

The Platform does not make pricing commitments, scheduling confirmations, or service guarantees on your behalf.

The Platform does not generate outbound marketing messages or contact individuals who have not initiated contact with your business.

The Platform supplements intake gaps only — it does not replace your dispatcher.

Job Cards are unverified intake records. You are solely responsible for verifying all details before dispatch.

Leadin Solutions makes no promise about the volume of calls or job cards generated during the engagement period.

Leadin Solutions has no connection to your trade license, contractor registration, or insurance.

6. SMS Messaging — Consent, Compliance, and TCPA

Consent Collection: The Platform employs an IVR consent flow. Callers hear a greeting under your company name that: (a) identifies itself as your automated scheduling assistant; (b) discloses that pressing 9 constitutes consent to receive service-related SMS by text message; (c) discloses message frequency (typically 2–4 per request); (d) discloses that message and data rates may apply; (e) informs of STOP/HELP rights; and (f) makes consent optional. No SMS is sent without an explicit press of 9. The logged consent record constitutes documented consent. Consent records are retained for a minimum of 4 years.

TCPA Responsibilities. Time Restriction: Automated SMS will only be sent between 8:00 a.m. and 8:00 p.m. in the recipient's local time zone (TCPA, 47 U.S.C. § 227). The Platform enforces this automatically.

7. Path to Paid Subscription After Engagement

Continuing with Leadin after the engagement ends is entirely Design Partner's choice. There is no obligation, no automatic enrollment, and no preferential pricing guarantee. The process below is the standard enrollment path that applies if Design Partner chooses to continue.

Design Partner must initiate enrollment independently through the standard process at leadin.solutions.

A new Customer Service Agreement must be signed at that time. This Design Partner Agreement does not carry forward.

If Founding Member tier spots are available at the time of enrollment, Design Partner may enroll at Founding Member terms ($397/month, rate lock). Founding Member availability is at Leadin Solutions' sole discretion and is not guaranteed.

If Founding Member tier is unavailable, the next available tier — Standard or any other tier then offered — applies at then-current pricing.

Participation in this Design Partner engagement creates no right, priority, or guarantee of access to any specific pricing tier.

There is no grace period between the Engagement End Date and paid enrollment. If Design Partner wishes to continue without interruption, enrollment must be completed before the Engagement End Date.

8. Data, Privacy, and Security

All customer intake data captured during the engagement belongs to Design Partner. Leadin Solutions acts as data processor during the engagement. Upon engagement end, Design Partner's job card data will be exported to the email on file within 5 business days. End-customer PII is deleted 90 days after the Engagement End Date. IVR consent records are retained minimum 4 years. All data handling is governed by the Leadin Solutions Privacy Policy.

Confidentiality: Each party agrees to keep confidential any non-public information received from the other party during the engagement, including product feedback, roadmap discussions, feature ideas, and operational details shared in feedback sessions. Design Partner agrees not to disclose Leadin Solutions' unreleased product plans, internal roadmap items, or feedback session content to third parties without prior written consent.

Intellectual Property

All feedback, suggestions, and ideas provided by Design Partner during the engagement become the property of Leadin Solutions and may be used without restriction, compensation, or attribution. This assignment is irrevocable. Design Partner retains no intellectual property rights in any ideas contributed during the engagement.

9. Setup and Design Partner Responsibilities

Configuration within 3-5 business days of agreement execution. Leadin Solutions provides a dedicated Twilio number and configures the dispatch workspace.

Ongoing Responsibilities:

Forwarding unanswered calls to the assigned Twilio number during normal business hours throughout the engagement

Removing call forwarding on or before the Engagement End Date

Attending bi-weekly feedback sessions or proposing alternative times within 5 business days

Providing honest, specific feedback based on actual Platform use

Actively using the Platform during the engagement — not passive enrollment only

Verifying all job card details independently before dispatch or committing to any service

Complying with all telecommunications laws applicable in your state of operation

Including in your own customer-facing agreements a disclosure that customers may receive automated SMS from your automated intake system

10. Warranties, Limitations, and Indemnification

Disclaimer of Warranties

THE PLATFORM IS PROVIDED DURING THE ENGAGEMENT PERIOD "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. THIS IS A PRODUCT DEVELOPMENT ENGAGEMENT — THE PLATFORM MAY HAVE IMPERFECTIONS, GAPS, AND BEHAVIORS THAT ARE SUBJECT TO CHANGE. NO SPECIFIC PERFORMANCE OUTCOME, CALL VOLUME, JOB CARD VOLUME, OR ERROR-FREE AI OUTPUT IS WARRANTED. JOB CARDS ARE UNVERIFIED INTAKE RECORDS.

Limitation of Liability

IN NO EVENT WILL LEADIN SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE ENGAGEMENT. BECAUSE THE ENGAGEMENT FEE IS $0.00, TOTAL LIABILITY SHALL NOT EXCEED $100.

Not liable for: (a) job card errors or inaccuracies; (b) failure to verify job card details before dispatch; (c) any loss arising from reliance on an unverified job card; (d) customer disputes; (e) caller's failure to contact 911; (f) TCPA non-compliance by Design Partner; (g) third-party platform outages; (h) product decisions made by Leadin Solutions regardless of feedback provided.

Indemnification: Design Partner agrees to indemnify Leadin Solutions from claims arising from: (a) Platform use during the engagement; (b) any violation of this Agreement; (c) customer disputes; (d) TCPA/SCA non-compliance; (e) misrepresentations to end-customers; (f) harm arising from a caller's reliance on the system in a life-safety emergency; (g) any action taken in reliance on an unverified job card.

11. Engagement End — What Happens

On the Engagement End Date: (1) Platform access ends. (2) Remove call forwarding from your business phone immediately. (3) Your job card data will be exported and delivered by email within 5 business days. (4) No charge is applied. (5) No subscription begins. (6) If you choose to continue as a paying customer, initiate enrollment at leadin.solutions.

Leadin Solutions will send a reminder email 5 business days before the Engagement End Date. This is a courtesy — Design Partner is responsible for removing call forwarding on the Engagement End Date regardless of whether the reminder is received.

12. Early Termination

Either party may terminate this Agreement before the Engagement End Date with written notice to the other party. No notice period is required. Termination is effective within 5 business days of written notice.

Leadin Solutions may terminate the engagement early if Design Partner: (a) fails to participate in two or more consecutive scheduled feedback sessions without rescheduling; (b) fails to configure and maintain active call forwarding; or (c) materially violates any term of this Agreement. Design Partner may terminate at any time for any reason or no reason by written notice to hello@leadin.solutions.

13. Governing Law and Dispute Resolution

Governed by the laws of Washington State. Jurisdiction and venue in King County, Washington. Disputes submitted first to 30-day good-faith written negotiation. If unresolved, binding arbitration in King County under AAA rules.

14. General Provisions

This Agreement together with the Leadin Solutions Terms of Service, Privacy Policy, and SMS Terms constitutes the entire agreement between the parties for the engagement period. This Agreement does not create any obligation on either party to enter into a subsequent agreement. All intellectual property rights in feedback and ideas are assigned to Leadin Solutions per Section 8. Notices via email: hello@leadin.solutions. If any provision is unenforceable, remaining provisions continue in full force.

15. TCPA Compliance Certification and Acceptance

Please read the following certification carefully before signing.

TCPA & Telecommunications Compliance Certification

By signing or confirming, Design Partner certifies that: (1) Design Partner has read and understands its obligations under the federal Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227) and applicable state telecommunications laws in its state of operation; (2) Design Partner accepts full and sole responsibility for compliance with those obligations in its jurisdiction, including ensuring call forwarding routes to the Platform correctly so the IVR consent flow is presented to every caller before any SMS is sent; (3) Design Partner will include in its own customer-facing agreements a disclosure informing customers that by contacting the business they may receive automated SMS from the business's automated intake system; (4) Design Partner understands that Leadin Solutions is the technical sender of SMS messages and that Design Partner is the principal on whose behalf messages are sent. Design Partner indemnifies Leadin Solutions for any TCPA or state telecommunications law violations arising from Design Partner's Platform use.
