Chamber Front Desk Agreement · $300/month · No setup fee · Month-to-month · Version 1.0 · Effective October 14, 2026 · Terms of Service · Privacy Policy · SMS Terms
In plain language

Leadin Front Desk answers your chamber's missed calls by text and delivers every question, meeting or call-back request, and membership, sponsorship, or event inquiry to your team. $300 per month, no setup fee, month-to-month, cancel any time. Up to 10 business days of testing at no charge before billing starts.

Three things define it. First, the Chamber receives the Front Desk product as Leadin builds it; there are no custom features, and all improvements are at Leadin's discretion. Second, the Front Desk never recommends, ranks, or looks up individual member businesses, so the Chamber's neutrality toward its members is protected by contract. Third, billing starts only when the Chamber goes live, and stops whenever the Chamber cancels.

1. Parties and Purpose

1.1 This Chamber Front Desk Agreement ("Agreement") is between Leadin Solutions LLC, a Washington limited liability company ("Leadin Solutions," "we," "us," "our"), and the chamber of commerce, business association, or membership organization identified on the enrollment form ("Chamber," "you," "your").

1.2 The Agreement governs the Chamber's access to and use of Leadin Front Desk (the "Platform" or "Service"), an AI-powered automated text-message front desk that answers callers when the Chamber's phone line is unanswered. By completing enrollment through leadin.solutions, including payment authorization via Stripe and acknowledgment of the Compliance Certification in Section 7.6, the Chamber agrees to be bound by this Agreement. Leadin Solutions records the version accepted, the timestamp, and the accepting account.

1.3 Service area. The Service is available to organizations in 47 US states. It is not available in California, Texas, or Florida. The Chamber represents that its principal office is not in one of those states, that it is duly organized and in good standing, and that the person completing enrollment has authority under its bylaws to bind it, including any board or executive committee approval required.

1.4 The Agreement incorporates the Leadin Solutions SMS Terms and Privacy Policy. If they conflict with this Agreement, this Agreement controls.

2. Service Description, Scope, and Member Neutrality

2.1 How it works. When the Chamber's phone line is unanswered, the caller hears a greeting under the Chamber's name identifying the Chamber's automated front desk assistant. If the caller presses 9, the Platform sends an SMS and conducts a text conversation that answers questions from the information the Chamber supplies ("Chamber Data"): office hours and location, Chamber events, how to join, membership levels, sponsorship and ribbon-cutting requests, and general Chamber programs. Anything that needs a person, including questions the Platform cannot answer, meeting and call-back requests, membership and sponsorship inquiries, and event questions, is delivered as an Inquiry Card to the Chamber's designated Slack channel or email (the "Dispatch Channel") for follow-up. The Chamber also receives access to the Chamber Interface, a web interface provided as part of the Service where the Chamber views its inquiries and conversation summaries, and views and updates its Chamber Data, including hours, exceptions, and events.

2.2 Inquiry Card. An Inquiry Card is an unverified automated record of a conversation, generated solely from the caller's statements and Chamber Data. It is a communication tool only. It is not a registration, booking, membership, sponsorship commitment, confirmation, or obligation of any kind, and the Chamber confirms every detail with the caller before acting on it. Leadin Solutions makes no representation as to the accuracy or completeness of Inquiry Card content.

2.3 Member neutrality. The Platform will not recommend, rank, favor, compare, or describe any individual member business; will not confirm or deny whether any business is a member; will not search, read from, or replicate the Chamber's member directory; and will not take positions on political, legislative, or community-controversy matters. Every request for a business referral receives the same response: a link to the Chamber's public online member directory and an offer to have Chamber staff follow up. The Chamber will not supply Chamber Data that identifies individual members for recommendation and will not ask Leadin Solutions to enable member lookups. This Section protects the Chamber's obligation of neutrality toward dues-paying members and is a material term for both parties.

2.4 Out of scope. The Platform does not register attendees, sell tickets, take payments or dues, confirm memberships, provide road, weather, or emergency information, or send promotional or marketing messages. It does not contact anyone who has not first called the Chamber.

2.5 Information accuracy. The Platform relays only Chamber Data. The Chamber is solely responsible for keeping Chamber Data accurate and current, including hours, closures, event dates, and membership details, and Leadin Solutions is not responsible for any consequence of Chamber Data that was inaccurate or outdated when relayed.

2.6 Not an emergency service. The greeting and the first SMS tell callers that for any emergency they must hang up and call 911.

2.7 Platform independence. Leadin Solutions is an independent technology service provider with no responsibility for the Chamber's operations, programs, governance, or legal compliance. The Platform supplements the Chamber's front desk; it does not replace Chamber staff and makes no pricing, registration, membership, or scheduling commitments on the Chamber's behalf. Leadin Solutions makes no promise, representation, or guarantee about the volume of calls the Chamber receives or the number of Inquiry Cards generated; volume depends entirely on the Chamber's own outreach and operations.

3. Fees and Billing

3.1 Monthly fee. $300 per month for one primary office location and one dedicated phone number. No setup fee. Additional numbers or locations are available at then-current pricing.

3.2 Test period and Go-Live Date. At the Chamber's request, up to 10 business days of testing follow the Provision Date (the date Leadin Solutions assigns the Chamber's dedicated number). No fee is charged during the test period. Billing starts on the Go-Live Date, which is the earlier of the day the Chamber forwards live calls to the assigned number or the eleventh business day after the Provision Date.

3.3 Billing mechanics. Fees are billed monthly in advance through Stripe to the payment method on file, starting on the Go-Live Date. Fees are exclusive of taxes; Leadin Solutions collects sales tax where it is required to do so. Carrier, A2P 10DLC, regulatory, and sub-processor fee increases imposed after enrollment may be passed through at cost on 30 days' written notice. Leadin Solutions may change the monthly fee on 60 days' written notice; the Chamber may cancel before the change takes effect.

3.4 Usage. The monthly fee covers all inbound calls and automated messages on the Chamber's primary number. Leadin Solutions may introduce usage-based pricing only through the 60-day notice in Section 3.3, and the Chamber may cancel before it takes effect.

3.5 Payment failure. If a charge fails, Leadin Solutions retries and notifies the Chamber. If payment is not received within 10 days of the invoice date, Leadin Solutions may suspend the Service until payment clears.

3.6 Refunds. Fees paid are non-refundable, in whole or in part, including for a partial month, except where this Agreement grants a refund of prepaid unused fees.

4. Term, Automatic Termination, and Wind-Down

4.1 Term. This Agreement is month-to-month with no minimum term and no notice period. It begins on enrollment and continues until cancelled or terminated under this Section.

4.2 Cancellation by the Chamber. Cancel at any time by written notice to hello@leadin.solutions. No advance notice is required and no minimum term applies. The subscription does not renew after the monthly period already paid for, and service continues to the end of that period. Remove call forwarding from the Chamber's phone line within 5 business days of issuing the cancellation notice, so no further calls route to Leadin Solutions after the paid period ends.

4.3 Termination by Leadin Solutions for convenience. Leadin Solutions may terminate on 30 days' written notice and will refund any prepaid fees for the unused period.

4.4 Suspension or termination for cause. Leadin Solutions may suspend or terminate immediately on written notice if: (a) payment is more than 10 days past due; (b) the Chamber breaches Section 2.3 (member neutrality), Section 5, or Section 7, or a representation in Section 1.3 is untrue; (c) the Chamber stops forwarding calls for more than 30 consecutive days without notice; (d) a carrier, regulator, or sub-processor restricts the Service for the Chamber's account; or (e) continued service would, in Leadin Solutions' reasonable judgment, create a material legal, security, or reputational risk. For any other material breach, Leadin Solutions may terminate if the breach is not cured within 10 days of written notice.

4.5 Wind-down. On any cancellation or termination: (a) Platform access ends at the end of the paid period, or immediately on termination for cause; (b) the Chamber removes call forwarding from its phone line, and the assigned number plays a courtesy message for 30 days directing callers to the Chamber's main line; (c) a CSV export of the Chamber's Inquiry Cards is delivered to the notice email within 5 business days; (d) caller personal information is deleted 90 days after termination; and (e) amounts already due remain payable.

4.6 Re-enrollment. A Chamber that cancels and re-enrolls after a gap of more than 5 business days enrolls at then-current pricing.

5. No Customizations and Product Discretion

5.1 As built. The Chamber receives Leadin Front Desk as Leadin Solutions builds and offers it. Onboarding includes a tailoring interview to collect Chamber Data (hours, events, membership information, routing preferences, and the Dispatch Channel) and a review of the greeting script. That tailoring is configuration of Chamber Data, not customization of the product.

5.2 No custom features. Leadin Solutions has no obligation to build, modify, or maintain any feature, integration, workflow, report, or behavior at the Chamber's request. Requests are welcome as feedback under Section 5.4 and are treated as input only.

5.3 Product discretion. Leadin Solutions has sole and absolute discretion over what to build, change, or remove, how, and when. Leadin Solutions may add, modify, or retire features of the Service at any time without notice, provided the core function in Section 2.1 continues while the Agreement is in force.

5.4 Feedback ownership. The Chamber hereby irrevocably assigns to Leadin Solutions all right, title, and interest in any feedback, suggestions, or ideas it provides about the Service, and Leadin Solutions may use them without restriction, compensation, or attribution.

5.5 Acceptable use. The Chamber may not: (a) use the Service to send unsolicited commercial messages; (b) misrepresent its identity, or the automated nature of the Platform, to callers; (c) use the Service in violation of the TCPA or applicable state law; (d) resell, sublicense, or share the Service with any other organization or location; (e) reverse engineer, scrape, or probe any part of the Platform; or (f) route to the Platform any phone number it does not own or operate.

6. Chamber Responsibilities and Onboarding

6.1 Onboarding. Leadin Solutions provisions a dedicated phone number, configures the Dispatch Channel, runs the tailoring interview, loads the initial Chamber Data, and conducts a live test call with the Chamber. At the Chamber's request, a test period of up to 10 business days precedes live call forwarding; during the test period the Service may be incomplete and is used for evaluation only.

6.2 Ongoing responsibilities. The Chamber will:

1. Forward unanswered calls to the assigned number during office hours while the Agreement is in force, and remove forwarding within 5 business days of issuing a cancellation notice.

2. Keep Chamber Data current, including every closure, event change, and membership or program change, through the Chamber Interface or by notice to Leadin Solutions; updates take effect by the next business day.

3. Respond to Inquiry Cards in the Dispatch Channel within a reasonable time.

4. Designate one Chamber Data owner and one notice email, and keep them and the Chamber's billing information current.

5. Include on the Chamber website, or in its contact information, a disclosure that callers who contact the Chamber may receive automated text messages from the Chamber's automated front desk assistant.

6. Comply with applicable telecommunications and privacy law and with its own bylaws, including any board approval required for this Agreement.

7. Confirm every Inquiry Card detail with the caller before acting on it.

6.3 Authority. The Chamber represents that the signer below has authority under its bylaws to bind the Chamber and that any required board or executive committee approval has been obtained.

6.4 Service levels. Availability: target 99% monthly uptime, excluding scheduled maintenance and sub-processor or carrier outages. For a verified outage within Leadin Solutions' control exceeding 4 continuous hours, the Chamber's remedy is a service credit equal to one prorated day of the monthly fee ($300 ÷ 30 = $10.00) applied to the next invoice, or the right to terminate immediately without penalty. Service credits are the Chamber's sole financial remedy for availability. Service-Level Guarantee: every call that passes the consent greeting will be engaged by SMS within 30 seconds, and every conversation the caller completes that needs follow-up will be delivered as an Inquiry Card to the Dispatch Channel. If either standard is missed in a calendar month, that month's fee is credited in full to the next invoice. Whether a caller replies, and answers given from Chamber Data, are outside the guarantee. Measurement and claims: Leadin Solutions' dispatch logs are the authoritative record. Claims are emailed to hello@leadin.solutions within 10 business days after the end of the calendar month, with the approximate date and time and the caller's last 4 digits if known; later claims are waived for that month. Leadin Solutions responds within 5 business days with a log review. Credits are not cash refunds. Exclusions: calls that did not reach the Platform because forwarding was not configured, calls where the caller did not press 9, calls outside 8:00 a.m. to 8:00 p.m. local time, and outages of Twilio, Anthropic, Slack, Railway, Make.com, or Airtable outside Leadin Solutions' reasonable control.

7. SMS Consent and TCPA

7.1 Consent collection. Callers hear a greeting under the Chamber's name that: (a) identifies itself as the Chamber's automated front desk assistant; (b) discloses that pressing 9 constitutes consent to receive informational text messages; (c) discloses expected message frequency (typically 2 to 6 per inquiry); (d) discloses that message and data rates may apply; (e) informs the caller of STOP and HELP rights; (f) states that for any emergency the caller should hang up and dial 911; and (g) makes consent optional. No SMS is sent without an explicit press of 9. The logged consent record (timestamp, caller number, digit pressed, greeting script version) is retained for a minimum of 4 years.

7.2 Quiet hours and revocation. Automated messages are sent only between 8:00 a.m. and 8:00 p.m. in the recipient's local time. The Platform honors any reasonable revocation (STOP, QUIT, CANCEL, UNSUBSCRIBE, END, or plain language) within the time required by 47 CFR § 64.1200, sends at most one confirmation, and suppresses the number. The Chamber's consent records and opt-outs are kept separate from every other Leadin Solutions customer.

7.3 Informational only. Messages are responses to the caller's own inquiry. They are not solicitations, advertisements, or telemarketing. The Chamber will not supply Chamber Data, and will not ask Leadin Solutions to configure behavior, that would turn a response into a promotional message, including event announcements or membership drives sent to callers who did not ask.

7.4 Allocation. Leadin Solutions is the technical sender; the Chamber is the principal on whose behalf messages are sent. The Chamber is responsible for maintaining call forwarding so that every forwarded caller hears the consent greeting before any SMS is sent, and for the disclosure in Section 6.2(5). The Chamber represents that it is the authorized owner or operator of every phone number it connects to the Platform.

7.5 The Leadin Solutions SMS Terms apply to all messages sent through the Platform.

7.6 Compliance Certification

By completing enrollment, the Chamber certifies that: (1) it has read and understands its obligations under the Telephone Consumer Protection Act (47 U.S.C. § 227) and the telecommunications laws of its state; (2) it accepts full and sole responsibility for compliance with those obligations, including ensuring that call forwarding routes to the Platform so that the consent greeting is presented to every caller before any SMS is sent; (3) it will publish the disclosure in Section 6.2(5); (4) it understands that Leadin Solutions is the technical sender of SMS messages and that the Chamber is the principal on whose behalf they are sent; and (5) it indemnifies Leadin Solutions for any TCPA or state telecommunications law violation arising from its use of the Platform.

8. Data, Confidentiality, and Intellectual Property

8.1 Data ownership and roles. Chamber Data and all Inquiry Cards belong to the Chamber. Leadin Solutions is the Chamber's service provider and data processor and uses caller information only to provide, secure, support, and improve the Service. Leadin Solutions does not sell caller information or use it for advertising. The Chamber does not provide, and Leadin Solutions does not accept, member rosters, dues records, donor lists, or access to the Chamber's membership database.

8.2 Retention. Caller personal information (name, phone, transcript) is deleted 90 days after the Inquiry Card is closed or 90 days after termination, whichever is earlier. Consent records: minimum 4 years. Opt-out records: permanent, hashed. Anonymized inquiry metadata: up to 3 years.

8.3 Sub-processors. Twilio (telephony and SMS), Anthropic (AI language model), Slack (dispatch delivery), Railway (hosting), Make.com (workflow automation), and Airtable (operational database). Changes are posted in the Privacy Policy with 30 days' notice.

8.4 Security and incidents. TLS 1.2+ in transit, AES-256 at rest, role-based access, suppression of personal information in logs and notifications. Leadin Solutions will notify the Chamber within 72 hours of confirming a security incident affecting the Chamber's data.

8.5 Legal hold. Either party will suspend scheduled deletion of relevant data on anticipating a claim or legal proceeding, notify the other, and preserve the records until the matter is resolved.

8.6 Confidentiality. Each party keeps the other's non-public business information confidential and uses it only under this Agreement, for the term plus 3 years, excluding information that was already known, becomes public through no fault of the receiving party, is approved for release in writing, is independently developed, or must be disclosed by law with prompt notice where lawful. Leadin Solutions' unreleased product plans and roadmap are confidential. The Chamber's public records obligations, if any, are not restricted by this Section.

8.7 Intellectual property. Leadin Solutions retains all rights in the Platform, including software, prompt architecture, workflows, designs, and the Leadin. wordmark. The Chamber receives a limited, non-exclusive, non-transferable, revocable license to use the Service for its own operations during the term. The Chamber retains ownership of Chamber Data and grants Leadin Solutions a license to use it to provide the Service. Neither party may use the other's name or logo except with the other party's prior written consent.

8.8 Law enforcement and legal process. Leadin Solutions treats stored SMS content as subject to the Stored Communications Act (18 U.S.C. §§ 2701 to 2713). For content stored 180 days or less, a valid search warrant is required before disclosure; for older content, a court order under 18 U.S.C. § 2703(d) or a warrant. Leadin Solutions will attempt to notify the Chamber of legal demands for its account data to the extent permitted by law.

9. Warranties, Limitation of Liability, Indemnification

9.1 Disclaimer

EXCEPT AS EXPRESSLY STATED IN SECTION 6.4, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NO SPECIFIC OUTCOME, CALL VOLUME, INQUIRY VOLUME, OR ERROR-FREE AI OUTPUT IS WARRANTED. INQUIRY CARDS ARE UNVERIFIED RECORDS AND NO WARRANTY OF ACCURACY IS MADE.

9.2 Exclusion of damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST REVENUE, LOST MEMBERSHIPS, LOST SPONSORSHIPS, OR LOST DATA, HOWEVER CAUSED.

9.3 Cap

LEADIN SOLUTIONS' TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE FEES THE CHAMBER ACTUALLY PAID IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $300.

9.4 Carve-outs. Sections 9.2 and 9.3 do not apply to a party's gross negligence, willful misconduct, or fraud, or to the Chamber's indemnification obligations.

9.5 Specific exclusions. Without limiting the above, Leadin Solutions is not liable for: (a) AI errors or inaccuracies in any message or Inquiry Card; (b) the Chamber's failure to confirm Inquiry Card details before acting; (c) inaccurate, outdated, or incomplete Chamber Data; (d) disputes between the Chamber and its members, callers, sponsors, or partners; (e) a caller's failure to call 911; (f) the Chamber's non-compliance with telecommunications, privacy, or nonprofit governance law; (g) outages of Twilio, Anthropic, Slack, Railway, Make.com, Airtable, or any carrier; (h) call or inquiry volume; or (i) any consequence of termination under Section 4.

9.6 Indemnification by the Chamber. The Chamber will defend, indemnify, and hold harmless Leadin Solutions and its members, managers, employees, and contractors from any third-party claim, fine, or expense (including reasonable attorneys' fees) arising from: (a) the Chamber's use of the Service; (b) the Chamber's breach of this Agreement; (c) disputes with the Chamber's members, callers, sponsors, or partners; (d) the Chamber's non-compliance with the TCPA or state telecommunications or privacy law; (e) Chamber Data; (f) misrepresentations to callers; (g) harm arising from a caller's reliance on the Service in an emergency; or (h) any action taken in reliance on an unverified Inquiry Card.

9.7 Indemnification by Leadin Solutions. Leadin Solutions will defend and indemnify the Chamber from any third-party claim that the Platform, as provided and used in accordance with this Agreement, infringes a United States patent, copyright, or trademark, excluding claims arising from Chamber Data. Leadin Solutions may resolve such a claim by modifying the Platform, obtaining a license, or terminating this Agreement.

9.8 Procedure. The indemnified party gives prompt notice, reasonable cooperation, and control of the defense to the indemnifying party, who may not settle in a way that admits fault for the indemnified party without consent.

10. General Provisions, Governing Law, and Signatures

10.1 Independence. Leadin Solutions is an independent technology service provider. Nothing in this Agreement creates an agency, partnership in the legal sense, joint venture, employment, or fiduciary relationship, and the word "partner" describes a business relationship only. Leadin Solutions does not refer, recommend, or endorse businesses to callers and is not a party to any transaction between the Chamber and anyone else.

10.2 Non-exclusivity. Nothing restricts the Chamber from using other vendors or Leadin Solutions from serving other chambers, members, or organizations.

10.3 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, epidemic, utility or telecommunications failure, government order, or failure of a sub-processor or carrier.

10.4 Assignment. The Chamber may not assign this Agreement. Leadin Solutions may assign it to an affiliate or to a successor in a merger, acquisition, or sale of all or substantially all of its assets, on notice.

10.5 Governing law and disputes. This Agreement is governed by the laws of the State of Washington without regard to its conflict-of-laws rules. The parties will first attempt 30 days of good-faith written negotiation. Any unresolved dispute will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, by one arbitrator seated in King County, Washington, with remote hearings permitted; either party may instead bring an individual claim in small claims court in King County, and either party may seek temporary injunctive relief in court to protect intellectual property or confidential information. Disputes are brought on an individual basis only. The prevailing party is entitled to reasonable attorneys' fees and costs.

10.6 Entire agreement and amendment. This Agreement, with the SMS Terms and Privacy Policy, is the entire agreement between the parties for its subject. Leadin Solutions may update this Agreement, the SMS Terms, and the Privacy Policy on 30 days' written notice; continued use after the effective date is acceptance, and the Chamber may cancel before then.

10.7 Survival. Sections 2.2, 3 (as to amounts due), 4.5, 5.4, 7.1, 7.2, 8, 9, and 10 survive termination.

10.8 Severability, waiver, notices, counterparts. If any provision is unenforceable, the rest continue in full force. Failure to enforce is not a waiver. Notices are by email to hello@leadin.solutions and to the Chamber's notice email below, effective the next business day. This Agreement may be signed electronically and in counterparts under the federal E-SIGN Act and the Washington Uniform Electronic Transactions Act.

10.9 No third-party beneficiaries. Callers, members, and all other third parties have no rights under this Agreement.

Chamber details

The Chamber's legal name, authorized signer, Chamber Data owner (defaults to the signer), and notice email are collected on the enrollment form and form part of this Agreement. Leadin Solutions assigns the Chamber's dedicated phone number and sets up the Dispatch Channel on provisioning, and records both on the Chamber's account.

Acceptance

By completing enrollment at leadin.solutions, including payment authorization via Stripe and acknowledgment of the Compliance Certification in Section 7.6, the Chamber accepts this Agreement. Completion of enrollment constitutes valid electronic acceptance.
